  8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定),甲方保證乙方可不受干擾的享用該物業(yè)。

  8.3 在乙方遵守本合同的條款及支付租金的前提下,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。

  9. 乙方應(yīng)按合同的規(guī)定,按時(shí)支付租金,保證金及其他各項(xiàng)應(yīng)付費(fèi)用。

  9.2 乙方應(yīng)愛護(hù)使用出租房屋,如因乙方的過失或過錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。

  9.3 乙方應(yīng)按本合同的約定合法使用出租房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險(xiǎn)物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。

  十、違約處理:

  a.未得甲方書面書面同意,將出租房屋擅自轉(zhuǎn)租;

  sublets the leased property without party a’s written consent;

  b.未得甲方同意將出租房擅自拆改結(jié)構(gòu)或改變用途的:

  alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;

  c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。

  fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a diute in reect of this agreement.

  十一、適用法律:

  Anti-Dilution

  反稀釋條款 The Conversion Price shall be adjusted on a full-ratchet basis for issuance of any securities of the Company at a purchase price less than the then-effective conversion price. Additionally, the Conversion Price shall be proportionally adjusted for share splits, share dividends, recapitalizations and the like.

  優(yōu)先受讓權(quán)和共同出售權(quán) The Investors shall have first refusal rights and co-sale rights whereby any holder of Ordinary Shares who proposed to sell all or a portion of his shares to a third party must first permit the investors at their option (i) to purchase such shares on the same terms as the proposed transferee, or (ii) sell a proportionate part of their shares on the same terms offered by the proposed transferee. Such rights of first refusal and co-sale rights would terminate upon the closing of a Qualified IPO.

  2) monthly management accounts of the Company and individual company standard accounts for each entity within the Company, to be provided within 15 business days after each month end; 每月度結(jié)束后15個(gè)工作日內(nèi)提供公司月度管理報(bào)表及公司內(nèi)每一主體單獨(dú)的標(biāo)準(zhǔn)報(bào)表;

  3) quarterly consolidated management accounts within 30 days after each quarter end;

  4) annual budgets and forecasts not less than 30 days prior to the commencement of each financial year;

  5) all other information which Investors may reasonably require within 7 days of the Company’s receipt of a notice requesting such information, or a clear demonstration of best efforts if more than 7 days are required;

  6) full details of any progress in relation to any IPO of all or part of the business as soon as practicable;

  7) access to books and records, the facilities, properties, management, employees, and accounting and legal advisors of the Company at any reasonable time after reasonable prior notice by Investors;

  8) prompt notification of any withdrawal of bank facilities of the Company, and the Company’s best efforts to restore adequate banking facilities;

  9) prompt notification of any material litigation or any circumstances that would likely give rise to material litigation; and

  Registration Rights

  注冊權(quán) 1) Demand, S-3, F-3 or Equivalent, and Piggyback Rights: The specific terms of registration rights would include at least the following: (i) starting three years after the Closing Date, the holders of 50% of the outstanding CN may request a Form F-1 registration statement to be filed; (ii) starting one year after the IPO, two (2) demand registrations upon request of holders of 50% of the outstanding CN on Form S-3 or F-3 or equivalent if listed on a non-US stock exchange; (iii) unlimited piggyback registrations in connection with registrations of shares for the account of the Company or selling shareholders exercising demand rights; and (iv) cut-back provisions providing that registrations must include at least 25% of the shares requested to be included by the holders of registrable securities and employees, directors, etc. must be cut back before the holders of registrable securities would be cut back.

  2) Expenses: The Company would bear the registration expenses (excluding underwriting discounts and commissions but including all other expenses related to the registration) of all such demand, piggyback and S-3, F-3 or equivalent registration.

  3) Transfer of Rights: The registration rights may be transferred.

  4) Termination: The registration rights would terminate on the earlier date of: (1) five (5) years after the closing of this financing, or (2) when any holder can sell all of such holder’s shares in any three-month period without registration pursuant to Rule 144 under the 1934 Act.

  Exclusivity

  排他性 The Investors will have the exclusive right to negotiate and complete the Investment for a period of eight weeks from the signing of this Term Sheet. During this Exclusive Period, neither the Company, nor the Founders, shall provide information, solicit or entertain proposals, or conduct any discussion or negotiation with any third party regarding the issuance of shares or other securities or instruments by the Company, or any other subsidiary or affiliate of the Company.

  費(fèi)用 The Company shall bear all costs and expenses reasonably incurred by the Investors in relation to the Investors’ investment contemplated under this Term Sheet including but not limited to the preparation, negotiation and execution of Transaction Documents and the legal, financial, commercial and technical due diligence undertaken by the Investors, up to a maximum limit of US$200,000.

  In the event Completion does not take place, the Company and the Investors shall bear their own costs and expenses, provided that if the Company unilaterally decides not to proceed with Completion, the Company shall bear all costs and expenses reasonably incurred by or on behalf of the Investors in relation to the Investors’ intended investment under this Term Sheet including but not limited to the preparation and negotiation of the Transaction Documents and the due diligence undertaken by the Investors, up to a maximum limit of US$200,000.

  Confidentiality

  保密性 The terms and conditions stipulated in this Term Sheet, including its existence, and the information about the Company shall be confidential information and shall not be disclosed to any third party unless required by applicable law or regulations of any stock exchange. This restriction does not apply to employees, legal counsels, accountants, and other professional advisors of the Company, the Founders, or the Investors, on a need-to-know basis.

  Termination

  終止 The CN and CN Holders’ rights hereunder terminate upon the closing of any Qualified IPO, except for any public offering or registration rights, which continue for the respective agreed periods. In the event of a Qualified IPO, the terms of the CNs and CNs will have to be disclosed in the offering document / prospectus and therefore the confidentiality clause can no longer be able to complied with.

  五、押金 / Deposit

  Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.

  3. 因乙方違反本合同的規(guī)定而產(chǎn)生的`違約金、損壞賠償金和其它相關(guān)費(fèi)用,甲方可在押金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。

  In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit. In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.

  4. 因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè),甲方應(yīng)立即全額無息退還押金予乙方,且乙方有權(quán)追究甲方的違約責(zé)任。

  If Party B can’t normally use the apartment because of Party A, Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A.

  六、甲方義務(wù) / Obligations of Party A

  1.甲方須按時(shí)將房屋及附屬設(shè)施(詳見附件)交付乙方使用。

  Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

  2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金。

  In case the premise and attached facilities are damaged by quality problems, natural damages or

  accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.

  3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項(xiàng)物權(quán)或其他影響乙方權(quán)益的事件,甲方應(yīng)保證所有權(quán)人、他項(xiàng)權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。 Party A will guarantee the lease right of the premises. In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shallguarantee that the new owner, and other associated ,third parties shall be bound by the terms of this contract. Otherwise, Party A will be responsible to compensate party B’s losses.

  七、乙方義務(wù)/ Obligations of Party B

  1.乙方應(yīng)按合同的規(guī)定按時(shí)支付租金及押金。

  Party B will pay the rental and the deposit on time.

  2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。

  Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.

  3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。

  Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

  4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。

  Party B will use the premises lawfully according to this contract without changing the nature of the p

  remises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.

  5.乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電話費(fèi)、收視費(fèi)、一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用,并按單如期繳納。

  Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.

  八、合同終止及解除的規(guī)定/ Termination and dissolution of the contract

  1. 乙方在租賃期滿后如需續(xù)租,應(yīng)提前一個(gè)月通知甲方,由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

  Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension. Under the same terms Party B has the priority to lease the premises.

  2. 租賃期滿后,乙方應(yīng)將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。

  When the lease term expires, Party B will return the premises and attached facilities to Party A. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party

  B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.

  3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。

  This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.

  九、違約及處理/ Breach of the contract

  1. 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途終止,則視為該方違約,雙方同意違約金為 元整,若違約金不足彌補(bǔ)無過錯(cuò)方之損失,則違約方還需就不足部分支付賠償金。

  During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be RMB . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

  2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時(shí)發(fā)生爭議,應(yīng)友好協(xié)商;協(xié)商不成,可向有管轄權(quán)的人民法院提起訴訟。

  Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

  Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.

  4. 房屋基本設(shè)施和結(jié)構(gòu)(不包括乙方損壞的家私和器具)損壞時(shí),甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費(fèi)用,并對其作定期修保。

  Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.

  5. 甲方謹(jǐn)在此聲明及保證甲方為出租房屋的合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有關(guān)機(jī)構(gòu)的批準(zhǔn),包括政府批準(zhǔn)及抵押權(quán)人的同意(如適用)。甲方于本合同所做出的聲明及保證,如有錯(cuò)誤或違反者,甲方須就乙方因此而引致的`任何損失、損害、支出及費(fèi)用做出全部補(bǔ)償。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent (if applicable).

  Party A shall be liable to Keep Party B be fully indemnified against any costs, expenses, losses and damages incurred to suffered by Party B as a result of any breach of Party A’s representations of warranties herein(including but not limited to legal costs.

  6. 如在租賃期內(nèi),租賃房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、和其他影響乙方權(quán)益的事情時(shí),甲方應(yīng)保證所有權(quán)人或其他影響乙方權(quán)益的第三者,能繼續(xù)遵守本合同所有條款。如乙方于本合同下的權(quán)益受此等所有權(quán)人或第三者所影響或損害,甲方須負(fù)責(zé)補(bǔ)償乙方的所有損失、損害、支出及費(fèi)用。

  六、乙方的責(zé)任 Obligations of Party B:

  1. 乙方應(yīng)按合同的規(guī)定,按時(shí)支付租金,保證金及其它各項(xiàng)應(yīng)付費(fèi)用如水、電、煤、寬帶等費(fèi)用。 Party B shall promptly pay all rent, security deposit and other charges such as water, electricity, gas, ADSL, etc payable by it in accordance with the terms of this Agreement.

  2. 乙方經(jīng)甲方事先書面同意,可在承租用房內(nèi)進(jìn)行裝修及添置設(shè)備。租賃期滿后恢復(fù)原狀或可正常出租狀態(tài)(正常損耗除外),并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。乙方在租賃結(jié)束交房時(shí)應(yīng)保持房屋清潔。

  Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Upon expiry of the tenancy, the leased property shall be returned to Patty A in its original conditions of normal lease conditions(fair wear and tear excepted), and all expenses arising there from shall be borne by Party B. Party B shall keep the premise clean once returning it to Party A.

  3. 乙方應(yīng)愛護(hù)使用租賃的房屋,如因乙方的過失或過錯(cuò)致使房屋及設(shè)施受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.

  4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險(xiǎn)的物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.

  5. 未經(jīng)甲方事先書面同意,乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.

  Without Party A’s prior written consent, Party B may not assign the tenancy or sublet the leased property to a third party.

  七、違約處理Breach of Agreement:

  1. 甲、乙任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣元整(¥ ),若違約金不足彌補(bǔ)無過錯(cuò)方之損失,則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.

  2.乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予退還。

  Party A shall have the right to terminate this Agreement, re-possess the leased property and forfeit the security deposit if Party B commits one of the following:

  a) 將承租的房屋擅自轉(zhuǎn)租

  Sublets the leased property to another person

  b) 未得甲方同意將承租的房屋擅自拆改結(jié)構(gòu)或改變用途的

  Alters the structure of the leased property without authorization or uses the leased property rather than for the purpose stated herein

  c) 無故拖欠租金超過十五天

  Fails s to pay rent without any reason for more than 15 days after the due date

  八、不可抗力 Force Majeure:

  若由于不可抗拒的自然災(zāi)害(包括但不限于火災(zāi)、洪水、地震、施工、敵對、瘟疫等行為等)

  獲其他非乙方過錯(cuò)所造成的對本物業(yè)的損毀致其無法居住或使用本物業(yè),乙方有權(quán)終止本組契約,甲方

  必須全數(shù)退還乙方所有保證金和當(dāng)月所余租期之相應(yīng)租金。 If the leased property is destroyed, damaged and rendered uninhabitable of unusable due to force major

  (include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy,pestilence etc).or actions that are not the result of Party B’s fault, Party B shall have the right to terminate this Agreement and prorated balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions.

  九、適用法律Applicable Law:

  本合同的成立,其有效性,解釋,簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.

  十、爭議的解決 Dispute Resolution:

  凡因執(zhí)行合同所產(chǎn)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決;協(xié)商不成,應(yīng)提交上海仲裁委員會,按其仲裁規(guī)則和中華人民共和國仲裁法在上海進(jìn)行仲裁, 仲裁裁決是終局的,對雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to arbitration by Shanghai Arbitration Commission in Shanghai accordance with its arbitration rules .The decision of the arbitrage body is final and shall be binding on the parties hereto.

  十一、其他 Others:

  1. 本合同附件是本合同不可分割的組成部分,具有同等法律效力。

  The attachment to this Agreement is an inseparable part of this Agreement and is equally enforceable.

  2. 本合同如有未盡事宜,由甲、乙雙方洽談解決。

  If this Agreement is unclear with respect to certain matters, the two parties shall discuss to resolve such ambiguities.

  3. 本合同由中文和英文寫成,以中文版本為準(zhǔn),英文僅供參考。

  This Agreement is written both in the Chinese and English languages. Only Chinese versions shall be authentic, English version is for reference.

  To be packed in new strong wooden case(s) suitable for long distance air/land transportation and well protected from dampness, moisture, shock, rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers, and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.

  一、委托事項(xiàng)

  二、代理費(fèi)用及支付方式

  2. Payment of Fees

  2.1代理費(fèi)用。乙方根據(jù)本協(xié)議完成全部代理工作的代理費(fèi)用由如下兩部分組成: 固定費(fèi)用:人民幣15萬元整(含稅),作為乙方律師工作成本費(fèi)用。在本協(xié)議簽訂后5日內(nèi)一次性電匯至乙方指定帳戶;乙方出具發(fā)票。另行提成費(fèi)用:乙方將根據(jù)本協(xié)議從本案最終執(zhí)行回來的全部凈收益中提取40%。凈收益的含義如下:來自本案的全部金額,減去已經(jīng)支付的案件費(fèi)用。甲方扣除費(fèi)用指的是從法院執(zhí)行回款中扣除本案一審和二審的訴訟費(fèi)以及法院執(zhí)行費(fèi)。

  如果執(zhí)行回的凈收益少于已經(jīng)支付的`費(fèi)用,雙方按照如下分配:每一方都按照收益的比例分配。比如,訴請金額為人民幣100元,收益為10元,即收益為訴請的10%。乙方將得到收益金額的40%。

  2.1 Party B’s fees for all services under this Agreement shall be paid in two separate installments:

  A. Fixed fee: RMB 150,000(before tax) to be paid in one installment within 5 days of the signing of this Agreement by wire as designated by Party B and upon receipt from Party B; The fixed fee is the work cost of attorney for fulfilling the commitment.

  B. Party B shall be paid 40% of all Net Proceeds collected from enforcement of judgments resulting from cases under this Agreement. Net Proceeds is defined as follows:Total amount collected amount in case, less case filing fee of court’s first and second instances or arbitration.

  Where the collected Net Proceeds are less than the Paid Amounts, the parties shall apportion the Net Proceeds as follows: Each Party shall be paid the pro rata share of the collected amounts vs. the collected amounts. Thus, if the claimed amount is $100 rmb, and the collected amount was $10 rmb, this represents 10% of the claimed amount. Thus Party B shall receive 40% of the collected amount, less 10% of the collected amount.

  3.1如果發(fā)生如下情況:實(shí)際情況不允許履行、公司終止,與乙方發(fā)生無法協(xié)調(diào)的分歧,甲方可以根據(jù)自己的決定終止本協(xié)議,應(yīng)在5個(gè)工作日內(nèi)書面通知乙方。已付給乙方的費(fèi)用不再要求退還。

  3.1 Party A, may, at its discretion, terminate this Agreement, or any portion thereof for reasons of impracticality, company wind down, or irreconcilable differences with Party B, upon 5 business days written notice to Party B; but don’t require Party B to hand back the payment paid to Party B .

  3.2甲方在行使終止權(quán)利時(shí),如果乙方代理的具體案件已經(jīng)進(jìn)入執(zhí)行階段,且有充分證據(jù)表明本案判決或者仲裁的執(zhí)行收益可以成功執(zhí)行的,除非乙方書面同意,甲方不能終止該案件的委托。

  3.2 While Party A is executing his right of termination, if a special commitment is in enforcement stage and there are plenty evidences to indicate that the judgment or

  the arbitration award of the case will be successfully executed, Party A can not terminate this special commitment without Party B’s written consent.

  3.3 甲方將全力在盡早的時(shí)間內(nèi)向乙方提供案件文件。

  3.3 Party A shall use all reasonable efforts to provide Pary B with the case files at the earliest practicable time;

  3.4 為了使乙方按照本協(xié)議履行職責(zé),甲方將全力提供乙方所要求的文件和其他支持性文件,并指定專人作為甲方與乙方的聯(lián)系人,給予相應(yīng)的聯(lián)系方式。

  3.4 Party A shall make every reasonable effort to provide Party B with requested documentation or other support documents in order for Party B to discharge its duties under this Agreement; A person specially will be assigned by Party A for the linkman with Party B, and give party B relevant contact manner.

  四、乙方權(quán)利 Rights of Party B

  4.1 乙方有按照法律和合同的約定獨(dú)立完成約定工作的權(quán)利,不受甲方不適當(dāng)?shù)母深A(yù)。

  4.1 Party B is entitled to perform the stipulated work according to laws and regulations as well as this Agreement without undue interference from Party A;.

  4.2 乙方在按約定完成工作后,有獲得約定費(fèi)用的權(quán)利。

  4.3 乙方如發(fā)現(xiàn)以下情況,可及時(shí)書面通知甲方,提出解決辦法,直至終止本協(xié)議:
