　　本合同雙方當(dāng)事人：

　　The parties to this Agreement are：

　　出租方(甲方)

　　Lessor (Party A)

　　Lessee (Party B)

　　根據(jù)《中華人民共和國合同法》、《上海市房屋租賃條例》(以下簡(jiǎn)稱《條例》)的規(guī)定，甲、乙雙方在平等、自愿、公平和誠實(shí)信用的基礎(chǔ)上，經(jīng)協(xié)商一致，就乙方承租甲方可依法出租的房屋事宜，訂立本合同。

　　According to provisions of the “Contract Law of People‘s Republic of China” and “Shanghai Municipality Leasing Regulation”(hereinafter refer to as “The Regulation”)， and upon the basis of voluntaries， equality and mutual benefits， Party A and Party B have reached a consensus to enter into this Agreement in respect of the lease of Apartment.

　　一、出租或預(yù)租房屋情況

　　Article One： General information of the Premises

　　1-1. 甲方出租給乙方的房屋座落在本市區(qū) 路弄號(hào) 室(以下簡(jiǎn)稱該房屋)該房屋出租實(shí)測(cè)建筑面積為平方米，房屋類型為、結(jié)構(gòu)為 .該房屋的宗地圖見本合同附件(一)甲方已向乙方出示：

　　1-1 Party A shall lease to Party B the property located in Rm ，Building ，Lane ， road ， Area (hereinafter referred to as the “Property”)， with a construction area of _277.97 square meters (actual calculation for leasing) The building is for residential use and the apartment is newly-built commodity complex with concrete structure. The ground plan of the apartment is in Appendix One of this Agreement. Party A has already presented to Party B：

　　1)【出租】房地產(chǎn)權(quán)證〔證書編號(hào)：〕。

　　1.For Leasing： Certificate of Property Rights(Property Certificate No.： )

　　1-2. 甲方作為該房屋的與乙方建立租賃關(guān)系。簽訂本合同前，甲方已告知乙方該房屋 (已/未)設(shè)定抵押。

　　1-2 Party A， as the property owner of the building， enters into this Agreement with Party B. Prior to the signing of this Agreement， Party A has made it known to Party B that the Premise is (is/is not) under mortgage.

　　1-3. 該房屋的公用或合用部位的使用范圍、條件和要求;現(xiàn)有裝修、附屬設(shè)施、設(shè)備情況和甲方同意乙方自行裝修和增設(shè)附屬設(shè)施的內(nèi)容、標(biāo)準(zhǔn)及需約定的相關(guān)事宜，由甲、乙雙方分別在本合同附件(二)(三)中加以列明。甲乙雙方同意該附件作為甲方向乙方交付該房屋和本合同終止時(shí)乙方向甲方返還該房屋時(shí)的驗(yàn)收依據(jù)。

　　1-3 The use， condition and requirements of the common areas of the Premise， the existing fit-out and the current state of additional facilities， alterations of the Premises furnishing and additional facilities by Party B， are all listed in details by both Party A and Party B in Appendix Two and Appendix Three of this Agreement. Appendix shall form the basis of the acceptance inspection， taking place when Party A hands over the Premises to Party B and when Party B， upon the expiration of the lease term of this Agreement， returns the Premises.

　　二、租賃用途

　　Article Two： Purposes of Leasing

　　2-1.乙方向甲方承諾，租賃該房屋作為辦公使用，并遵守國家和本市有關(guān)房屋使用和物業(yè)管理的規(guī)定。

　　2-1 Party B undertakes， as represented to Party A， that the lease of said premises shall only be for the purpose of office . Party B shall abide by relevant state and municipality regulations.

　　2-2.乙方保證，在租賃期內(nèi)未征得甲方書面同意以及按規(guī)定須經(jīng)有關(guān)部門審批核準(zhǔn)前，不擅自改變上款約定的使用用途。

　　2-2 Party B shall not unilaterally change the use of said Premises during the term of the lease， unless it received Party A‘s prior written consent and obtained the approval of the relevant authorities in accordance with regulations.

　　三、交付日期和租賃期限

　　Article Three： Date of Turning Over and Term of Lease

　　3-1. 甲乙雙方約定，甲方于年月日前向乙方交付該房屋�！境鲎狻糠课葑赓U期自年月日起至年月日止。

　　3-1 Both parties agree that Party A shall turn over the Premises to Party B before September 1，2008. Lease： The lease term of said Premises shall commence on and expire on

　　3-2. 租賃期滿，甲方有權(quán)收回該房屋，乙方應(yīng)如期返還。乙方如繼續(xù)承租該房屋的，則應(yīng)于租賃期屆滿前 2 個(gè)月，向甲方提出續(xù)租書面要求，經(jīng)甲方同意后重新簽定租賃合同。

　　3-2 Party A shall have the right to recover all leased Premises upon the expiry of the lease term， and Party B shall return the Premises on time. If Party B wishes to renew the lease， a written intent must be made to Party A two months prior to the expiration of the lease term; subject to Party A‘s consent， a renewal contract shall be executed.

　　四、租金、支付方式和期限

　　Article Four： Rent and Method of Payment and Deadline

　　4-1. 甲、乙雙方約定，該房屋月租金共計(jì)為人民幣元。(大寫：元整) .

　　4-1 Both Parties agree that the total monthly rent shall be _RMB_ (currency)_ _ (amount)

　　五、保證金和其他費(fèi)用

　　Article Five： Deposit and Other Fees

　　5-1. 甲、乙雙方約定，甲方交付該房屋時(shí)，乙方應(yīng)向甲方支付房屋租賃保證金，保證金為個(gè)月的租金，人民幣元(大寫：元整) .甲方收取保證金后應(yīng)向乙方開具收款憑證。租賃關(guān)系終止時(shí)，甲方收取的房屋租賃保證金除用以抵充合同約定的由乙方承擔(dān)的費(fèi)用外，剩余部分在一周內(nèi)無息歸還乙方。

　　5-1 Party A and Party B agree that upon signing this Agreement， Party B shall pay Party A an amount equal to the sum of _ months‘ rent， totaling RMB(currency)_ (amount)， as the earnest money for Party B’s performance of this Agreement. Party A shall issue a receipt to Party B upon receiving the deposit. Upon the expiry of the lease term， the deposit can be used to pay other fees borne of Party B. Party A shall return Party B the balance of the above said deposit money free of interest within one week.

　　5-2. 租賃期間，使用該房屋所發(fā)生的通訊費(fèi)用由乙方承擔(dān)。其他相關(guān)費(fèi)用，均由甲方承擔(dān)。

　　5-2 The expenses in respect of communication fee shall be borne by Party B. Other related fees shall be borne by Party A .

　　六、房屋使用要求和維修責(zé)任

　　Article Six： Premises Standard and Obligations of Repair

　　6-1. 租賃期間，乙方發(fā)現(xiàn)該房屋及其附屬設(shè)施有損壞或故障時(shí)，應(yīng)及時(shí)通知甲方修復(fù);甲方應(yīng)在接到乙方通知后的' 3 日內(nèi)進(jìn)行維修。逾期不維修的，乙方可代為維修，費(fèi)用由甲方承擔(dān)。

　　6-1 Party B shall timely inform Party A of any damage or malfunction of the Premises and its accessory facilities. Party A should carry out the repair within _3_ days of receiving the notification from Party B. Should it fail to do so， Party B has the right to carry out the repair on Party A‘s expense.

　　6-2. 租賃期間，乙方應(yīng)合理使用并愛護(hù)該房屋及其附屬設(shè)施。因乙方使用不當(dāng)造成房屋及其附屬設(shè)施損壞或發(fā)生故障的，乙方應(yīng)負(fù)責(zé)維修。乙方拒不維修，甲方可代為維修，費(fèi)用由乙方承擔(dān)。

　　6-2 Party B shall take good care of the Premises and the facilities therein and use them in a reasonable manner. In the event of damage to the Premises or the facilities due to Party B‘s improper use， Party B shall promptly repair any damage or compensate. Should Party B refuse to repair， Party A can repair on Party B’s expense.

　　6-3. 租賃期間，甲方保證該房屋及其附屬設(shè)施處于正常的可使用和安全的狀態(tài)。甲方對(duì)該房屋進(jìn)行檢查、養(yǎng)護(hù)，應(yīng)提前 3 日通知乙方。檢查養(yǎng)護(hù)時(shí)，乙方應(yīng)予以配合。甲方應(yīng)減少對(duì)乙方使用該房屋的影響。

　　6-3 Party A shall guarantee the safety for the use of the said Premises during the term of the lease. Party A shall give _3_ day(s) prior written notice to Party B before carrying out repairs on the Premises and its accessory facilities， and Party B shall actively lend its assistance and co-operation. Party A shall do his best to reduce the influence on Party B‘s use.

　　6-4. 除本合同附件(三)外，乙方另需裝修或者增設(shè)附屬設(shè)施和設(shè)備的，應(yīng)事先征得甲方的書面同意，按規(guī)定須向有關(guān)部門審批的，則還應(yīng)由甲方報(bào)請(qǐng)有關(guān)部門批準(zhǔn)后，方可進(jìn)行。乙方增設(shè)的附屬設(shè)施和設(shè)備歸屬及其維修責(zé)任由甲、乙雙方另行書面約定。

　　6-4 Party B shall obtain the prior written consent from Party A for any refurbishing in the Premises or alteration of the original facilities required by Party B in addition to the existing furnishing and facilities. The relevant procedures must be properly carried out after Party A has got the appropriate approval from relevant authorities. The ownership and maintenance of the additionally installed facilities and equipment shall be separately agreed upon by both Parties.

　　七、房屋返還時(shí)的狀態(tài)

　　Article Seven： The Condition of the Premises upon Handing Over

　　7-1. 除甲方同意乙方續(xù)租外，乙方應(yīng)在本合同的租期屆滿后的 2 日內(nèi)返還該房屋，未經(jīng)甲方同意，逾期返還房屋的，每逾期一日，乙方應(yīng)按日租金的雙倍(日租金為月租金x12/365)向甲方支付該房屋占用期間的使用費(fèi)。

　　7-1 Party B shall hand over the Premises back to Party A within _2 days after the termination of lease term， unless Party A has agreed upon a renewal contract. Should Party B fail to hand back the Premises in time， it is subject to pay a daily penalty of _two times of daily rent(Daily rent = monthly rent x 12 / 365) to Party A.

　　7-2. 乙方返還該房屋應(yīng)當(dāng)符合正常使用后的狀態(tài)。返還時(shí)，應(yīng)經(jīng)甲方驗(yàn)收認(rèn)可，并相互結(jié)清各自應(yīng)當(dāng)承擔(dān)的費(fèi)用。

　　7-2 Party B shall hand over the Premises in its proper state. Upon the handing over， Party A shall inspect the house and relevant charges borne by either Parties shall be duly paid.

　　八、轉(zhuǎn)租、轉(zhuǎn)讓和交換

　　Article Eight： Sub-lease， Assignment and Transfer of the Premises

　　8-1. 除甲方已在本合同補(bǔ)充條款中同意乙方轉(zhuǎn)租外，乙方在租賃期內(nèi)，需事先征得甲方的書面同意，方可將該房屋部分或全部轉(zhuǎn)租給他人。但同一間居住房屋，不得分割轉(zhuǎn)租。

　　8-1 Party B must obtain Party A‘s prior written consent before it sublets any part or all of the leased premises to a third party within the term of the lease， unless Party A and Party B have agreed otherwise in the Supplementary Provisions. However， Party B shall not sublet the same room in part.

　　8-2. 乙方轉(zhuǎn)租該房屋，應(yīng)按規(guī)定與接受轉(zhuǎn)租方訂立書面的轉(zhuǎn)租合同。并按規(guī)定向該房屋所在區(qū)、縣房地產(chǎn)交易中心或農(nóng)場(chǎng)系統(tǒng)受理處辦理登記備案。

　　8-2 Party B shall enter into a written sub-leasing contract with a third party for the sub-leasing of the Premises. The contract shall be duly registered and filed in accordance with all relevant regulation.

　　8-3. 在租賃期內(nèi)，乙方將該房屋轉(zhuǎn)讓給他人承租或與他人承租的房屋進(jìn)行交換，必須事先征得甲方書面同意。轉(zhuǎn)讓與交換后，該房屋承租權(quán)的受讓人或交換人應(yīng)與甲方簽訂租賃主體變更合同并繼續(xù)履行本合同。

　　8-3 In the event that Party B subleases or transfers the Premises， Party B needs a prior written consent from Party A.

　　8-4. 在租賃期內(nèi)，甲方如需出售該房屋，應(yīng)提前三個(gè)月通知乙方。乙方在同等條件下有優(yōu)先購買權(quán)。

　　8-4 A three-month prior notice shall be given to Party B if Party A wants to sell the Premises during the lease term. Party B has the preemptive right for the Premises.

　　九、解除本合同的條件

　　Article Nine： Termination of this Agreement

　　9-1. 甲、乙雙方同意在租賃期內(nèi)，有下列情形之一的，本合同終止，雙方互不承擔(dān)責(zé)任：

　　9-1 Party A and Party B agree that during the lease term， should any of the following events occurs， this Agreement is terminated and neither Parties need to compensate the other Party.

　　(一) 該房屋占用范圍內(nèi)的土地使用權(quán)依法提前收回的;

　　One： The using right of the land occupied by the Premises is legally early taken back by the government.

　　(二) 該房屋因社會(huì)公共利益被依法征用的;

　　Two： The Premises is to be legally taken over by government for use of public benefits and urban infrastructure.

　　(三) 該房屋因城市建設(shè)需要被依法列入房屋拆遷許可范圍的;

　　Three： The Premises is to be demolished for reasons of urban construction.

　　(四) 該房屋毀損、滅失或者被鑒定為危險(xiǎn)房屋的;

　　Four： The Premises is damaged and partly destroyed or is deemed as unsafe for residential use.

　　(五) 甲方已告知乙方該房屋出租前已設(shè)定抵押，現(xiàn)被處分的;

　　Five： Party A notifies Party B that the house is under mortgage and is currently under disposal.

　　9-2. 甲、乙雙方同意，有下列情形之一的，一方可書面通知另一方解除本合同。違反合同的一方，應(yīng)向另一方按月租金的雙倍支付違約金;給對(duì)方造成損失的，支付的違約金不足抵付一方損失的還應(yīng)賠償造成的損失與違約金的差額部分：

　　9-2 Both Parties agree that if any of the following events occurs， one Party can terminate the Agreement with a written notification to the other Party. A compensation which equals _two times the monthly rent shall be paid by the Party that breaches the Agreement to the other Party. If the penalty is insufficient to set off the loss， the Party that breaches the Agreement is to compensate the shortfall to the other Party.

　　(一)甲方未按時(shí)交付該房屋，經(jīng)乙方催告 7 日內(nèi)仍未交付的;

　　One： Party A fails to hand over the Premises in due time and still fails to do so within _7_ days after Party B‘s notification.

　　(二) 甲方交付的該房屋不符合本合同的約定，致使不能實(shí)現(xiàn)租賃目的的;或甲方交付的房屋存在缺陷，危及乙方安全的;

　　Two： The Premises that Party A hands over is not in accordance with the provisions in this Agreement and therefore poses an interruption of the normal operation of the Premises.

　　(三) 乙方未征得甲方書面同意改變房屋用途，致使房屋損壞的;

　　Three： Party B changes the use of the Premises without prior written consent from Party A and therefore destroys the Premises.

　　(四) 因乙方原因造成房屋主體結(jié)構(gòu)損壞的;

　　Four： The main structure of the Premises is destroyed due to Party B.

　　(五) 乙方擅自轉(zhuǎn)租該房屋、轉(zhuǎn)讓該房屋承租權(quán)或與他人交換各自租房屋的;

　　Five： Party B sub-let， transfers or exchanges the Premises to or with other without the written consent of Party A.

　　(六) 乙方逾期不支付租金累計(jì)超過 30 日的;

　　Six： Party B is more than _30 days in arrears of the rent.

　　十、違約責(zé)任

　　Article Ten： Liability for Breach of Contract

　　10-1. 該房屋交付時(shí)存在缺陷的，甲方應(yīng)自交付之日起的 7 日內(nèi)進(jìn)行修復(fù)，逾期不修復(fù)的，甲方同意減少租金并變更有關(guān)租金條款。

　　10-1 Any defects of the apartment upon its handing over should be remedied by Party A within _7_ days. Should it fail to do so， Party A agrees to deduct the rent and change certain rent-related provisions of this Agreement.

　　10-2. 因甲方未告知乙方，該房屋出租前已抵押或產(chǎn)權(quán)轉(zhuǎn)移已受到限制，造成乙方損失的，甲方應(yīng)負(fù)責(zé)賠償。

　　10-2 Party A fails to notify Party B in this Agreement that the Premises is under mortgage and the change of ownership is under limitation. Party A has to compensate Party B for all its losses.

　　10-3. 租賃期間，甲方不及時(shí)履行本合同約定的維修、養(yǎng)護(hù)責(zé)任，致使房屋損壞，造成乙方財(cái)產(chǎn)損失或人身傷害的，甲方應(yīng)承擔(dān)賠償責(zé)任。

　　10-3. In the event that Party A fails to repair and maintain the Premises in a timely manner in accordance with this Agreement， thereby resulting in any damage to the Premises from which Party b suffers economic loss or personal injury， Party A shall compensate Party B accordingly.

　　10-4.租賃期間，非本合同規(guī)定的情況，甲方擅自解除本合同，提前收回該房屋的，甲方應(yīng)按月租金的雙倍向乙方支付違約金。若違約金不足抵付乙方損失的，甲方應(yīng)負(fù)責(zé)賠償。

　　10-4. In the event that Party A terminates this Agreement without prior consent of Party B during the lease term， Party A shall pay a fine equivalent to _two_ times the monthly rent. If the fine is insufficient to set off the losses suffered by Party B， Party A shall compensate Party B for the shortfall.

　　10-5. 乙方未征得甲方書面同意或者超出甲方書面同意的范圍和要求裝修房屋或者增設(shè)附屬設(shè)備的，甲方可以要求乙方恢復(fù)房屋原狀。

　　10-5 Party B refurbishes the apartment or add to its facilities without the written consent of Party A or does so more than Party A‘s requirement， Party A has the right to ask Party B to restore the house to its original.

　　10-6 租賃期間，乙方若未按本合同4.2條款及時(shí)、足額支付租金，自逾期之日起乙方應(yīng)每日按應(yīng)付未付租金的3‰向甲方支付滯納金，直至乙方付清之日止。

　　10-6 During the term of the lease， in the event that Party B pays the rent late or insufficiently according to article 4.2， Party B should pay late fee， which should be 3‰ of the expected rent per day， The days in arrears begin from the next day of the deadline till the day practically paid.

　　10-7 租賃期間，非本合同規(guī)定的情況，乙方中途擅自退租的，乙方應(yīng)按月租金的雙倍向甲方支付違約金。若違約金不足抵付甲方損失的，乙方還應(yīng)負(fù)責(zé)賠償。甲方可從租賃保證金中抵扣。保證金不足抵扣的，不足部分則由乙方另行交付。

　　10-7. In the event that Party B terminates this Agreement without prior consent of Party A during the lease term， it shall pay a fine equivalent to _two_ times the monthly rent. If the said rent is insufficient to set off the losses suffered by Party A， Party B shall compensate Party A for the shortfall.

　　十一、其他條款

　　Article Eleven： Other Provisions

　　11-1. 租賃期間，甲方需抵押該房屋，應(yīng)當(dāng)書面告知乙方，并向乙方承諾該房屋抵押后當(dāng)事人協(xié)議以折價(jià)、變賣方式處分該房屋前 7 日書面征詢乙方購買該房屋的意見。

　　11-1 Party A shall notify Party B in written form 7 days if it wishes to sell-off the house or covert it into money during the lease term and it should inquire Party B‘s intention of buying the Premises.

　　11-2. 本合同自雙方簽字生效。生效后的15日內(nèi)，由甲方負(fù)責(zé)按規(guī)定向房屋所在地區(qū)、縣房地產(chǎn)交易中心或農(nóng)場(chǎng)系統(tǒng)受理處辦理登記備案，領(lǐng)取房屋租賃登記備案證明;本合同經(jīng)登記備案后，凡變更、終止本合同的，由甲方負(fù)責(zé)在本合同變更終止之日起的15日內(nèi)，向原登記機(jī)構(gòu)辦理變更、終止登記備案手續(xù)。因甲方未辦理房屋租賃登記備案或變更、終止登記備案的，所引起的法律糾紛，由甲方承擔(dān)一切責(zé)任。

　　11-2 This Agreement shall come into effects upon its signing. Party A shall be responsible for registering this Agreement within fifteen (15) days after its execution with the Shanghai Municipal/district (county) Real Estate Exchange Authorities on behalf of the Parties. Party A shall be responsible to carry out， on behalf of the Parties， the procedures for the registration of any amendment to or termination of this Agreement with the original registration authorities within fifteen (15) days following the amendment or termination of this Agreement. Should Party A fail to do so， it is to bear all legal responsibilities.

　　11-3. 本合同未盡事宜，經(jīng)甲、乙雙方協(xié)商一致，可訂立補(bǔ)充條款。本合同補(bǔ)充條款及附件均為本合同不可分割的一部分，本合同及其補(bǔ)充條款和附件內(nèi)空格部分填寫的文字與鉛印文字具有同等效力。

　　11-3 Matters not covered in this Agreement may be set forth in Supplementary Provisions subject to a consensus reached between Party A and Party B following consultations. The Supplementary Provisions and annexes of this Agreement form an inseparable part of this Agreement. The text written into the blank spaces of this Agreement and its Supplementary Provisions and Annexes and the printed text shall be equally authentic.

　　11-4. 甲、乙雙方在簽署本合同時(shí)，對(duì)各自的權(quán)利、義務(wù)、責(zé)任清楚明白，并愿按合同規(guī)定嚴(yán)格執(zhí)行。如一方違反本合同，另一方有權(quán)按本合同規(guī)定索賠。

　　11-4 Both Parties， upon signing this Agreement， clearly understand each one‘s rights， obligations and responsibilities， and are willing to perform strictly in accordance with provisions of the Agreement. If a Party breaches this Agreement， the other Party shall have the right to claim compensation in accordance with the provisions of this Agreement.

　　11-5. 甲、乙雙方在履行本合同過程中發(fā)生爭(zhēng)議，應(yīng)通過協(xié)商解決，協(xié)商解決不成的，雙方同意選擇下列第二種方式解決：

　　(一)提交仲裁委員會(huì)仲裁;

　　(二)依法向人民法院起訴。

　　11-5 Disputes arising between the Parties in the course of performing this Agreement shall be resolved through consultations. Where the negotiations fails to resolve the dispute， one of the following methods shall be used as agreed in this Agreement： 2 .

　　(1) Apply for arbitration at Arbitration Commission;

　　(2) Issue legal proceeding in People‘s Court

　　11-6. 本合同連同附件一式三份。其中：甲、乙雙方各執(zhí)一份，上海市/ 區(qū)房地產(chǎn)交易中心或農(nóng)場(chǎng)受理處一份，均具有同等效力。

　　11-6 There shall be three (3) original copies of this Agreement and the Supplementary Provisions. Party A and Party B shall each hold one copy; the Shanghai Municipality/ District Department of Real Estate Transaction Administration shall hold one copy.All copies are of equal legal effect.

　　11-7本合同以中英文寫成，若中英文內(nèi)容有不一致，以中文為準(zhǔn)。

　　11.7 This Contract is written in both Chinese and English. In case there is any inconsistency arising between the Chinese part and the English part， the Chinese shall prevail.

　　出租方(甲方)lessor (hereinafter referred to as party a) ：

　　根據(jù)國家有關(guān)法律、法規(guī)和有關(guān)規(guī)定，甲、乙雙方在平等自愿的基礎(chǔ)上，經(jīng)友好協(xié)商一致，就甲方將其合法擁有的房屋出租給乙方使用，乙方承租使用甲方房屋事宜，訂立本合同。

　　in accordance with relevant chinese laws 、decrees and pertinent rules and regulations ，party a and party b have reached an agreement through friendly consultation to conclude the following contract.

　　一、物業(yè)地址 location of the premises

　　甲方將其所有的位于上海市_________區(qū)____________________________________的房屋及其附屬設(shè)施在良好狀態(tài)下出租給乙方___________使用。

　　party a will lease to party b the premises and attached facilities all owned by party a itself， which is located at _______________________________________ __________________________ and in good condition for_____________ .

　　二、房屋面積 size of the premises

　　三、租賃期限 lease term

　　四、租金 rental

　　3. 如乙方逾期支付租金超過十天，則每天以月租金的0.5%支付滯納金;如乙方逾期支付租金超過十五天，則視為乙方自動(dòng)退租，構(gòu)成違約，甲方有權(quán)收回房屋，并追究乙方違約責(zé)任。

　　in case the rental is more than ten working days overdue， party b will pay 0.5 percent of monthly rental as overdue fine every day， if the rental be paid 15 days overdue， party b will be deemed to have with drawn from the premises and breach the contract. in this situation， party a has the right to take back the premises and take actions against party b's breach.

　　五、保證金 deposit

　　1. 為確保房屋及其附屬設(shè)施之安全與完好，及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算，乙方同意于______年_____月_____日前支付給甲方保證金人民幣 _________元整，甲方在收到保證金后予以書面簽收。

　　guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term， party b will pay _________to party a as a deposit before _____(month) _____(day) _______(year)。 party a will issue a written receipt after receiving the deposit.

　　2. 除合同另有約定外，甲方應(yīng)于租賃關(guān)系消除且乙方遷空、點(diǎn)清并付清所有應(yīng)付費(fèi)用后的當(dāng)天將保證金全額無息退還乙方。

　　unless otherwise provided for by this contract， party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.

　　3. 因乙方違反本合同的規(guī)定而產(chǎn)生的.違約金、損壞賠償金和其它相關(guān)費(fèi)用，甲方可在保證金中抵扣，不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。

　　in case party b breaches this contract， party a has right to deduct the default fine， compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items， party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.

　　六、甲方義務(wù) obligations of party a

　　1. 甲方須按時(shí)將房屋及附屬設(shè)施(詳見附件)交付乙方使用。

　　party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.

　　2. 房屋設(shè)施如因質(zhì)量原因、自然損耗或?yàn)?zāi)害而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。

　　in case the premise and attached facilities are damaged by quality problems， natural damages or disasters， party a will be responsible to repair and pay the relevant expenses.

　　3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。

　　party a will guarantee the lease right of the premises. otherwise， party a will be responsible to compensate party b's losses.

　　七、乙方義務(wù) obligations of party b

　　1. 乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。

　　party b will pay the rental， the deposit and other expenses on time.

　　2. 乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的完好及正常使用。

　　party b may decorate the premises and add new facilities with party a's approval. when this contract expires， party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

　　3. 未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。

　　party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise， party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

　　4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。

　　party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise， party b will be responsible for the damages caused by it

　　5. 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費(fèi)、等一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用，并按單如期繳納。

　　party b will bear the cost of utilities such as communications， water， electricity， gas， management fee etc. on time during the lease term.

　　八、合同終止及解除的規(guī)定 termination and dissolution of the contract

　　1. 乙方在租賃期滿后如需退租或續(xù)租，應(yīng)提前兩個(gè)月通知甲方，由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

　　within two months before the contract expires， party b will notify party a if it intends to extend the leasehold. in this situation， two parties will discuss matters over the extension.

　　2. 租賃期滿后，乙方應(yīng)在當(dāng)天將房屋交還甲方;任何滯留物，如未取得甲方諒解，均視為放棄，任憑甲方處置，乙方?jīng)Q無異議。

　　when the lease term expires， party b will return the premises and attached facilities to party a within days. any belongings left in it without party a's previous understanding will be deemed to be abandoned by party b. in this situation， party a has the right to dispose of it and party a will raise no objection.

　　3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意，不得任意終止，如有未盡事宜，甲、乙雙方可另行協(xié)商。

　　this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party's agreement. anything not covered in this contract will be discussed separately by both parties

　　九、違約及處理 breach of the contract

　　1. 甲、乙雙方任何一方在未征得對(duì)方諒解的情況下，不履行本合同規(guī)定條款，導(dǎo)致本合同中途中止，則視為該方違約，雙方同意違約金為人民幣_(tái)__________元整，若違約金不足彌補(bǔ)無過錯(cuò)方之損失，則違約方還需就不足部分支付賠償金。

　　during the lease term， any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract. both parties agree that the default fine will be________________. in case the default fine is not sufficient to cover the loss suffered by the faultless party， the party in breach should pay additional compensation to the other party.

　　2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時(shí)發(fā)生爭(zhēng)議，應(yīng)首先友好協(xié)商;協(xié)商不成，可向有管轄權(quán)的人民法院提起訴訟。本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意，不得任意終止，如有未盡事宜，甲、乙雙方可另行協(xié)商。

　　both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. in case the agreement cannot be reached， any party may summit the dispute to the court that has the jurisdiction over the matter.

　　十、其他 miscellaneous

　　1. 本合同附件是本合同的有效組成部分，與本合同具有同等法律效力。

　　any annex is the integral part of this contract. the annex and this contract are equally valid.

　　2. 本合同壹式貳份，甲、乙雙方各執(zhí)一份。
