article 3: lease term

party b shall not change the structure and original style of the office during decoration without party a’s written consent. party b is required prior decoration to render to party a a statement detailing the office decoration scheme, including design drawing, decoration materials, list of equipment to be used and so on. only with written consent from party a, which shall not be unduly withheld, can the decoration be carried out.2．乙方如對辦公室進行裝修時，不得擅自改變辦公室內(nèi)的電源、通訊等線路和空調(diào)、噴淋等各種管路的原有走向，如確因使用電腦或其它辦公設備而需增加電源插座時，應在裝修方案中列明，獲允許后方可施工，施工完畢后由甲方查驗。如有損壞，除負責修復外，還應對造成的后果承擔全部責任。
party b shall not change the power supply and communication lines, pipelines for airconditioner and sprinkler without permission of party a during decoration. however, if some additional power outlets for computers and other office equipment will really be installed, they should be listed in the office decoration scheme, and only with party a’s permission can the decoration be carried out, which must be checked by party a after the completion of the decoration. if any damage occurs to those facilities, party b should repair the facilities at its own cost and be responsible for any consequence of these damages.3．鑒于辦公室和地坪承載負荷限制，乙方如對辦公室進行裝修時，不得使用花崗石、大理石等重質(zhì)材料作為地面裝飾。

in order to keep the unity of the architecture and decoration of the whole cargo terminal, party b shall not change the doors, windows and their exterior color without permission from party a during decoration.5．鑒于甲方已為乙方提供了空調(diào)設備，乙方在進行辦公室裝修時或辦公室使用過程中，不得再安裝任何形式的空調(diào)設備或取暖裝置。乙方同意，在辦公室租用期間，不使用單體耗電量超過300瓦的電氣設備，每個接電插座用電容量不超過10安培，以確保貨運站的用電安全。
since party a has provided aircondition equipments to party b, party b shall not install any other airconditioner or heating device when decoration or in duration of the office leased. to ensure the electrical safety of the cargo terminal, party b agrees not to use electric appliances with power consumption surpassing 300w in single, and capacity of each electricity outlet is no larger than 10 a.6．乙方同意不論何種原因致使乙方中止本合同，乙方在遷離貨運站時，不得對原屬于甲方所有的固定設備或裝置造成損壞，并負責將所租用辦公室恢復至租賃前原樣,但辦公室的正常損耗除外。

article 7: responsibility of agreement violation

article 9: settlement of dispute
本合同在履行中如發(fā)生爭議，雙方應協(xié)商解決；協(xié)商不成時，任何一方均可依據(jù)中華人民共和國仲裁法向上海市仲裁委員會提請仲裁。仲裁結果將為最終結果，對雙方均有約束力。

CLAIMS: In case discrepancy on the quality or quantity of the goods is found by the Buyer, after arrival of the goods at the port of destination, the Buyer may, within 30 days and 15 days respectively after arrival of the goods at the port of destination, lodge with the Seller a claim which should be supported by an Inspection Certificate issued by a public surveyor approved by the Seller. The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.

LATE DELIVERY AND PENALTY: In case of late deliver, the Buyer shall have the right to cancel this contact, reject the goods and lodge a claim against the Seller. Except for Force Majeure, if late delivery occurs, the Seller must pay a penalty, and the Buyer shall have the right to lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.

7. 市場情況報告 Reports on Market Conditions

8. 宣傳廣告費用 Advertising & Publicity Expenses
在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.
9. 協(xié)議有效期 Validity of Agreement
本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**.若一方希望延長本協(xié)議，則須在本協(xié)議期滿前1個月書面通知另一方，經(jīng)雙方協(xié)商決定。

Subject to availability, and underless otherwise mutually agreed, the quantitied of each grade of crude oil to be lifted or received and purchased by BUYER during the term of this Agreement shall be spread over the term of this Agreement as evenly as practicable.

Notwithstanding anything to the contrary contained else where in this Agreement and without prejudice to any other rights or remedies available to SELLER hereunder if at any time BUYER,for at any reason other than force majeure(as defined in Paragraph 11.6)or a reason attributable to SELLER, fails
to lift or receive and purchase quantities of crude oil in accordance with this Paragraph 3, SELLER may at one time or from time to time thereafter, at its sole discretion, and upon notice to BUYER, reduce any or all quantities and grades of crude oil which BUYER would have otherwise been entitled to lift and buy.

The quality of each grade of crude oil delivered hereunder shall be the usual quality of that grade being made available by SELLER at the time of loading of the crude oil at the SELLER's loading port in Saudi Arabia. SELLER warrants that it has good and marketable title to the crude oil, free and clear of all charges, liens and encumbrances but THERE ARE NO GUARANTEES OR WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS OR SUITABILITY OF THE CRUDE OIL, FOR ANY PARTICULAR PURPOSE OR OTHERWISE, WHICH EXTEND BEYOND THE DESCRIPTION OF THE CRUDE OIL AND ANY SPECIFICATIONS THEREFOR CONTAINED IN THIS AGREEMENT.

Price:
4.1 The price per barrel of each grade of crude oil to be sold hereunder shall be the average of the means of Oman and Dubai crude oil quotations (as
published in Platt's Crude Oil Marketwire under the heading "Spot Assessment") for the entiremonth in which the Bill of Lading date falls, plus or minus a differential for each grade to be provided by SELLER to BUYER as per Paragraph 4.2.

On or before the fifth (5th) day of each month, SELLER shall notify BUYER of the differential to be used to determine the price per barrel of each grade of crude oil for sale under this Agreement during the following month ("Scheduled Month of Delivery"). Within five (5) calendar days after receipt of SELLER's notification as set forth in the preceding sentence, BUYER may elect to terminate this Agreement by delivering written notice thereof to SELLER. Unless BUYER elects to terminate this Agreement in accordance with the immediately preceding sentence, the price differential notified by SELLER shall apply. Termination by BUYER in accordance with this Paragraph 4.2 shall be effective as of the first day of the month following SELLER's receipt of BUYER's notice; provided, however, that termination under this or any other provision of this Agreement shall not affect the parties' rights and obligations with respect to deliveries of crude oil under this Agreement which were made prior to the effective date of termination; and further provided that in the event of termination hereunder or expiration of the Agreement, this Agreement shall remain in effect with respect to all crude oil for which delivery has been confirmed pursuant to Paragraph 6. The differential applicable to such crude oil shall be the differential which was in effect during the month prior to termination.

If delivery is at Yanbu, BUYER shall pay, in addition to the price calculated in accordance with Paragraph 4.1, the East-West Pipeline transit fee, currently U.S. $0.25 (twenty-five U.S. cents) per barrel.

Should issuance of the Bill of Lading occur before or after the Scheduled Month of Delivery, the price of such cargo shall be calculated using the differential that would have applied had issuance of the Bill of Lading occurred in the Scheduled Month of Delivery; however, the Oman and Dubai Prices shall be calculated with reference to the Bill of Lading date, as set forth in Paragraph 4.1.

�。�13） Documents： The Sellers shall present to the negotiating bank， Clean On Board Bill of Lading， Invoice， Quality Certificate issued by the China Commodity Inspection Bureau or the Manufacturers， Survey Report on Quantity/Weight issued by the China Commodity Inspection Bureau， and Transferable Insurance policy or Insurance Certificate when this contract is made on CIF basis.
（14） For this contract signed on CIF basis， the premium should be 110% of invoice value. All risks insured should be included within this contract. If the Buyer asks to increase the insurance premium or scope of risks， he should get the permission of the Seller before time of loading， and all the charges thus incurred should be borne by the Buyer.
�。�15） Quality/Quantity Discrepancy； In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination； while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other transportation organizations and/or Post Office are liable.
�。�16） The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents.
�。�17） Arbitration：
All disputes in connection with this contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached， the case may then be submitted for arbitration to China International Economic And Trade Arbitration Commission in accordance with the provisional Rules of Procedures promulgated by the said Arbitration Commission. The arbitration shall take place in Beijing and the decision of the Arbitration Commission shall be final and binding upon both parties； neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. Or arbitration may be settled in the third country mutually agreed upon by both parties.
�。�18） The Buyer is requested always to quote THE NUMBER OF THE SALES CONTRACT in the Letter of Credit to be opened in favour of the Seller.
