　　第一條合同對(duì)象

　　第四條供貨期

　　第五條標(biāo)記

　　每個(gè)貨箱均應(yīng)用防水顏料在箱體的三面(上面，前面和左面)用英、_________(國)兩種文字書寫以下標(biāo)記：合同號(hào)，收貨人，箱號(hào)，毛重，凈重。

　　第六條支付

　　第七條保證和索賠

　　賣方在提供的商品投入使用之后12個(gè)月內(nèi)保證商品質(zhì)量，但不超過供貨之日起18個(gè)月。

　　對(duì)貨物品質(zhì)的異議應(yīng)在發(fā)現(xiàn)缺陷后3個(gè)月內(nèi)提出，如在保證期發(fā)現(xiàn)缺陷，提賠日期不能遲于保證期結(jié)束30天。

　　如商品在保證期內(nèi)出現(xiàn)缺陷，供貨一方應(yīng)排除缺陷或更換有缺陷的部分并負(fù)擔(dān)費(fèi)用。

　　第八條發(fā)貨通知

　　售方應(yīng)在發(fā)貨后10天內(nèi)以電傳向購方通知有關(guān)貨物自生產(chǎn)廠發(fā)運(yùn)的情況，并注明發(fā)運(yùn)日期，合同號(hào)，發(fā)動(dòng)機(jī)號(hào)，件數(shù)，毛重和鐵路運(yùn)單號(hào)。

　　第九條仲裁

　　由本合同所產(chǎn)生或與本合同有關(guān)的一切糾紛，應(yīng)盡可能通過雙方談判解決。如雙方不能達(dá)成協(xié)議，可提交被告國對(duì)外貿(mào)易仲裁機(jī)關(guān)審理，中方國家對(duì)外貿(mào)易仲裁為中國對(duì)外貿(mào)易促進(jìn)委員會(huì)，_________方為_________商會(huì)。

　　第十條不可抗力條款

　　雙方任何一方發(fā)生不可抗力情況(如火災(zāi)、自然災(zāi)害、戰(zhàn)爭、各種軍事行動(dòng)、封鎖、禁止進(jìn)出口或不以雙方意志為轉(zhuǎn)移的其它情況)，使本合同全部或部分義務(wù)無法履行時(shí)，履行本合同義務(wù)的期限可相應(yīng)推遲，在此期間合同義務(wù)仍然有效。

　　如果不可抗力情況持續(xù)30天以上，其中一方有權(quán)通知另一方免除繼續(xù)履行合同義務(wù)，此時(shí)任何一方無權(quán)向?qū)Ψ教岢鲅a(bǔ)償可能的損失。

　　無法履行本合同義務(wù)方應(yīng)將不可抗力情況發(fā)生和結(jié)束及影響合同義務(wù)履行情況立即通知對(duì)方。

　　第一條　經(jīng)購銷雙方協(xié)商交易活動(dòng)，必須履行本合同條款。具體品類(種)，需簽訂要貨成交單，并作為本購銷合同的附件;本合同中的未盡事宜經(jīng)雙方協(xié)商需補(bǔ)充的條款可另附協(xié)議書，亦視為合同附件。合同附件與本合同具有同等效力。經(jīng)雙方確認(rèn)的往來信函、傳真、電子郵件等，將作為本合同的組成部分，具有合同的效力。

　　簽訂成交單，除上級(jí)規(guī)定按計(jì)劃分配成交外，其余商品一律采取自由選購，看樣成交的方式。

　　第二條　合同簽訂后，不得擅自變更和解除。如甲方遇不可抗拒的原因，確實(shí)無法履行合同;乙方因市場(chǎng)發(fā)生驟變或不能防止的原因，經(jīng)雙方協(xié)商同意后，可予變更或解除合同。但提出方應(yīng)提前通知對(duì)方，并將“合同變更通知單”寄給對(duì)方，辦理變更或解除合同的手續(xù)。

　　按乙方指定花色、品種、規(guī)格生產(chǎn)的商品，在安排生產(chǎn)后，雙方都需嚴(yán)格執(zhí)行合同。如需變更，由此而產(chǎn)生的損失，乙方負(fù)擔(dān);如甲方不能按期、按質(zhì)、按量按指定要求履行合同，其損失，甲方負(fù)擔(dān)。

　　第三條　成交單中的商品價(jià)格，由雙方當(dāng)事人商議決定，或以國家定價(jià)決定。

　　在簽訂合同時(shí)，確定價(jià)格有困難，可以暫定價(jià)格成交，上下幅度雙方商定。

　　國家定價(jià)的商品，在合同規(guī)定的交(提)貨期限內(nèi)，如遇國家或地方行政部門調(diào)整價(jià)格，按交貨(指運(yùn)出)時(shí)的價(jià)格執(zhí)行。

　　逾期交貨的，如遇價(jià)格上調(diào)時(shí)，按原價(jià)執(zhí)行;遇價(jià)格下調(diào)時(shí)，按新價(jià)執(zhí)行。逾期提貨的，遇價(jià)格上調(diào)時(shí)，按新價(jià)執(zhí)行，遇價(jià)格下調(diào)時(shí)，按原價(jià)執(zhí)行。由于調(diào)整價(jià)格而發(fā)生的差價(jià)，購銷雙方另行結(jié)算。

　　第四條　運(yùn)輸方式及運(yùn)輸費(fèi)用等費(fèi)用，由雙方當(dāng)事人協(xié)商決定。

　　第五條　各類商品質(zhì)量標(biāo)準(zhǔn)，甲方嚴(yán)格執(zhí)行合同規(guī)定的質(zhì)量標(biāo)準(zhǔn)，保證商品質(zhì)量。

　　第六條　商品包裝，必須牢固，甲方應(yīng)保障商品在運(yùn)輸途中的安全。乙方對(duì)商品包裝有特殊要求，雙方應(yīng)具體合同中注明，增加的包裝費(fèi)用，由乙方負(fù)擔(dān)。

　　第七條　商品調(diào)撥，應(yīng)做到均衡、及時(shí)。對(duì)合同期內(nèi)的商品可考慮按3 ∶3 ∶4 的比例分批發(fā)貨;季節(jié)性商品按承運(yùn)部門所規(guī)定的最遲、最早日期一次發(fā)貨;當(dāng)令商品，零配件和數(shù)量較少的品種，可一次發(fā)貨。

　　第八條　對(duì)有有效期限的商品，其有效期在2 /3 以上的，甲方可以發(fā)貨;有效期在2 /3 以下的，甲方應(yīng)征得乙方同意后才能發(fā)貨。

　　第九條　甲方應(yīng)按乙方確定的合理運(yùn)輸路線、工具、到達(dá)站(港)委托承運(yùn)單位發(fā)運(yùn)，力求裝足容量或噸位，以節(jié)約費(fèi)用。

　　如一方需要變更運(yùn)輸路線、工具、到達(dá)站時(shí)，應(yīng)及時(shí)通知對(duì)方，并進(jìn)行協(xié)商，取得一致意見后，再辦理發(fā)運(yùn)，由此而影響合同期限，不以違約處理。

　　第十條　商品從到達(dá)承運(yùn)部門時(shí)起，所有權(quán)即屬乙方。在運(yùn)輸途中發(fā)生的丟失、缺少、殘損等責(zé)任事故，由乙方負(fù)責(zé)向承運(yùn)部門交涉賠償，需要甲方協(xié)助時(shí)，甲方應(yīng)積極提供有關(guān)資料。乙方在接收商品時(shí)發(fā)現(xiàn)問題，應(yīng)及時(shí)向承運(yùn)部門索取規(guī)定的記錄和證明并立即詳細(xì)檢查，及時(shí)向有關(guān)責(zé)任方提出索賠;若因有關(guān)單據(jù)未能隨貨同行，貨到后，乙方可先向承運(yùn)部門具結(jié)接收，同時(shí)立即通知甲方，甲方在接到通知后5 日內(nèi)答復(fù);屬于多發(fā)、錯(cuò)運(yùn)商品，乙方應(yīng)做好詳細(xì)記錄，妥為保管，收貨后10日內(nèi)通知甲方，不能自行動(dòng)用，因此而發(fā)生的一切費(fèi)用由甲方負(fù)擔(dān)。

　　第十一條　商品的外包裝完整，發(fā)現(xiàn)溢缺、殘損串錯(cuò)和商品質(zhì)量等問題，在貨到半年內(nèi)(貴重商品在7 天內(nèi))，責(zé)任確屬甲方的，乙方可向甲方提出查詢。

　　發(fā)現(xiàn)商品霉?fàn)€變質(zhì)，應(yīng)在30天內(nèi)通知甲方，經(jīng)雙方共同研究，明確責(zé)任，損失由責(zé)任方負(fù)擔(dān)。

　　接收進(jìn)口商品和外貿(mào)庫存轉(zhuǎn)內(nèi)銷的商品，因關(guān)系到外貿(mào)查詢，查詢期為乙方收貨后的60天，逾期甲方不再受理。

　　乙方向甲方提出查詢時(shí)，應(yīng)填寫“查詢單”，一貨一單，不要混列。查詢單的內(nèi)容應(yīng)包括嘜頭、品名、規(guī)格、單價(jià)、裝箱單、開單日期、到貨日期、溢缺數(shù)量、殘損程度、合同號(hào)碼、生產(chǎn)廠名、調(diào)撥單號(hào)等資料，并保留實(shí)物;甲方接到“查詢單”后，10日內(nèi)作出答復(fù)，要在30天內(nèi)處理完畢。

　　為減少部分查詢業(yè)務(wù)，凡一張調(diào)撥單所列一個(gè)品種損溢在2 元以下、殘損在5 元以下均不做查詢處理(零件除外)。對(duì)笨重商品的查詢(如縫紉機(jī)頭、部件等的殘品)乙方將殘品直接寄運(yùn)工廠，查詢單寄交甲方并在單上注明寄運(yùn)日期。

　　第十二條　商品貨款、運(yùn)雜費(fèi)等款項(xiàng)的結(jié)算，購銷雙方應(yīng)按中國人民銀行結(jié)算辦法的規(guī)定，商定適宜的結(jié)算方式，及時(shí)妥善辦理。

　　貨款結(jié)算中，要遵守結(jié)算紀(jì)律，堅(jiān)持“錢貨兩清”原則，分期付款應(yīng)在成交單上注明。有固定購銷關(guān)系的國營、供銷合作社商業(yè)企業(yè)，異地貨款結(jié)算可采用“托收承付”結(jié)算方式;對(duì)情況不明的交易單位，可采用信用證結(jié)算方式，或先收款后付貨。

　　第十三條　甲、乙雙方的任何一方有違約行為的，應(yīng)負(fù)違約責(zé)任并向?qū)Ψ街Ц哆`約金。因違約使對(duì)方遭受損失的，如違約金不足以抵補(bǔ)損失時(shí)，還應(yīng)支付賠償金以補(bǔ)償其差額。如違約金過分高于或者低于造成的損失的，當(dāng)事人可以請(qǐng)求人民法院或者仲裁機(jī)構(gòu)予以適當(dāng)減少或者增加。

　　1.甲、乙兩方所簽訂的具體合同要求，一方未能履行或未能完全履行合同時(shí)，應(yīng)向?qū)Ψ街Ц哆`約合同貨款總值___%的違約金。但遇雙方協(xié)商辦理變更或解除合同手續(xù)的，不按違約處理。

　　2.自提商品，甲方未能按期發(fā)貨，應(yīng)負(fù)逾期交貨責(zé)任，并承擔(dān)乙方因此而支付的實(shí)際費(fèi)用;乙方未按期提貨，應(yīng)按中國人民銀行有關(guān)延期付款的規(guī)定，按逾期提貨部分貨款總值計(jì)算，向甲方償付逾期提貨的違約金，并承擔(dān)甲方實(shí)際支付的保管費(fèi)用。

　　3.甲方提前交貨和多交、錯(cuò)發(fā)貨而造成的乙方在代保管期內(nèi)實(shí)際支付的費(fèi)用，應(yīng)由甲方負(fù)擔(dān)，乙方逾期付款的，應(yīng)按照人民銀行有關(guān)逾期付款的規(guī)定，向甲方償付逾期付款違約金。

　　4.對(duì)應(yīng)償付的違約金，賠償金，保管、保養(yǎng)費(fèi)用和各種經(jīng)濟(jì)損失，應(yīng)在明確責(zé)任后，10天內(nèi)主動(dòng)匯給對(duì)方，否則，按逾期付款處理，但任何一方不得自行用扣發(fā)貨物或扣付貨款充抵。

　　第十四條　甲、乙兩方履行合同，發(fā)生糾紛時(shí)，應(yīng)及時(shí)協(xié)商解決，協(xié)商不成時(shí)，任何一方均可向仲裁機(jī)構(gòu)申請(qǐng)仲裁或向人民法院起訴。(兩者選一)

　　第十五條　本合同一式4 份，甲、乙兩方各執(zhí)2 份，并送交當(dāng)?shù)厝嗣胥y行及有關(guān)部門，監(jiān)督執(zhí)行。

　　18 仲裁：

　　在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

　　after contract sign， the selling party is open by first-rate bank in 3 workdays a can‘t cancel of fulfill contract and performance bond， with 2% of the total payment amount. the buyer receives to fulfill contract to protect the letter， being opened a list by the bank of china in 7 workdays the irrevocable， transferable confirmed “at sight” documentary letter of credit， the amount of money is 100% of the total payment， from open a day valid for 60 days， a nd should in the selling party bank in time 95% documents against payment in counter. 5% payment of the surplus， at the arrival of the goods purpose harbor， business the both parties examine the report at the port of discharge ciq result to settle accounts. pb open once receive l/c， l/c shall automatic active once pb open. has the ciq to report in 10 work days， business the both parties settle accounts the tail style with the method of t/t.

　　11.documents required for payment付款所需單證：

　　the bank charge(s) for the issuance of the letter of credit shall be borne by the buyer. the bank charge(s) after the issuance of the letter of credit shall be borne by the seller. the bank charge(s) for amendment of the letter of credit， if any， shall be borne by the responsible party.

　　買方負(fù)擔(dān)銀行開證費(fèi)用。賣方負(fù)擔(dān)開證后的銀行費(fèi)用。信用證更改產(chǎn)生的銀行費(fèi)用由責(zé)任方負(fù)擔(dān)。

　　16. without any penalty to buyer買方不須負(fù)擔(dān)任何罰款：

　　seller then to offer another cargo that complies with contract terms， time being of the essence o r the buyer has the right to cancel the contract， a nd in that event under clauses in sections 15 the seller shall pay all the penalty to buyer include the fees of the discharge port.

　　在規(guī)格達(dá)到第15條的退貨標(biāo)準(zhǔn)情形下，賣方此時(shí)須于時(shí)限內(nèi)重新提供符合合約條件的貨品與買方，否則買方有權(quán)取消本合約，而賣方必須支付包括卸貨港所有損失罰款費(fèi)用于買方。

　　17.weighment重量：

　　the invoice weight shall be determined by draft survey at load port， certified by sgs (pt.sucofindo)/ciq at sellers expense， after adjustment to obtain quantity (see below) weight as obtained at load port， in the above manner shall be final a nd accepted by seller a nd buyer.

　　發(fā)票上的實(shí)際重量應(yīng)以船舶在裝貨港的吃水鑒定作為貨品實(shí)際重量，鑒定報(bào)告是由sgs (pt.sucofindo)/ciq以實(shí)際貨量調(diào)整額為基準(zhǔn)所開出，費(fèi)用由賣方負(fù)擔(dān)，此一數(shù)量額為買賣雙方共同所接受。

　　buyer shall be entitled， at its own expense， to have his representative present at the draft survey， a nd any difference of opinion is to be settled by the master of the charter vessel， whose decision shall be final.

　　買方有權(quán)以自費(fèi)方式指派代表人參與船身吃水鑒定，且船公司得接受其意見，并共同決定鑒定結(jié)果。

　　buyer shall be entitled to have draft survey conducted by sgs o r another independent international inspection agency at the discharge port， at its own expense.

　　買方亦有權(quán)以自費(fèi)方式，由sgs (pt.sucofindo)或其它國家檢驗(yàn)公證機(jī)構(gòu)于卸貨港實(shí)施船身吃水鑒定。

　　18.chemical analysis化學(xué)成分分析：

　　the chemical composition of the cargo shall be determined by an independent international agency at load port， seller cost.

　　貨物之化學(xué)組成成份分析，須由獨(dú)立的國際公證檢驗(yàn)機(jī)構(gòu)在裝貨港檢驗(yàn)證明，所需費(fèi)用由賣方負(fù)擔(dān)。

　　19. moisture content水分含量：

　　the moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade. if the moisture loss exceeds 8 % seller shall adjust the final weight obtained from draft survey by the excess moisture content so found， a nd invoice only the resulting net weight.

　　水份含量是以攝氏105℃下水氣逸失后所測(cè)得知濕度值8%基準(zhǔn)，若所測(cè)之知濕度值超過8%時(shí)，賣方必須按照船身吃水鑒定報(bào)告來調(diào)整出最后實(shí)際重量，發(fā)票僅依凈重。

　　20. sampling a nd analysis抽樣及分析：

　　all sampling a nd analysis relevant to the contract terms shall be conducted at load port.

　　依照合約內(nèi)容所進(jìn)行的采樣及分析工作應(yīng)于裝貨港口實(shí)施之。

　　supposing the cargo gets any discrepancy between the inspection at discharge port a nd the sgs (pt.sucofindo)/ciq(according to the agreement) the ending result by ciq for this contract.

　　若買方在卸貨港檢驗(yàn)時(shí)與賣方的sgs (pt.sucofindo)/ciq證明(符合合約規(guī)范)有所差異時(shí)，以ciq檢驗(yàn)為最終檢驗(yàn)標(biāo)準(zhǔn)結(jié)果。

　　21.title to cargo貨物所有權(quán)：

　　the title with respect to the shipment shall pass from the seller to the buyer when the seller receives reimbursement of the proceeds from the opening bank through the negotiating bank against the relative shipping documents as forth herein. the seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit， if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating bank.

　　賣方于檢附海運(yùn)提單及相關(guān)文件經(jīng)由押匯行向開狀銀行取得應(yīng)收的押匯款后，貨物所有權(quán)同時(shí)歸買方所擁有。若開狀銀行或押匯行以不合理之異議作為拒付或者有延遲付款情形產(chǎn)生時(shí)，賣方有完全的權(quán)利以其單方所認(rèn)定的合適方法對(duì)貨物做任何的處理。

　　22. inspection檢測(cè)：

　　draft survey weight at loading port certified by sgs (pt.sucofindo) at the loading port shall be final subject to 0.5% franchise against b/l weight.

　　in case， there is a difference in weight compared to b/l weight exceeding 0.5%， buyer o r seller will compensate the amount in excess o r shortage (including 0.5%) seller may appoint a surveyor at discharging port at the seller‘s expense. inspection certificates issued by ciq at the discharging port shall be deemed as final. all compensation amounts in excess o r shortage between the buyer a nd the seller will be paid within 7 (seven) banking days.

　　在裝運(yùn)港由sgs(pt.sucofindo)檢測(cè)的重量與提單重量相差0.5%以內(nèi)應(yīng)為最終結(jié)算標(biāo)準(zhǔn)。如果與提單所示重量相差超過0.5%，買方或賣方應(yīng)補(bǔ)償超出或短缺部分(包括0.5%)

　　賣方可以自費(fèi)指定卸貨港檢測(cè)員。在卸貨港由 ciq頒發(fā)的檢測(cè)證書應(yīng)為最終結(jié)果。

　　買賣雙方之間對(duì)超出或短缺部分的差額之補(bǔ)償應(yīng)在7個(gè)銀行工作日內(nèi)付清。
