美國(guó)房產(chǎn)合同要注意的七大關(guān)鍵點(diǎn)
在美國(guó)房屋交易過(guò)程中,因?yàn)榉课萁灰缀霞s已經(jīng)完全格式化,我們需要重點(diǎn)關(guān)注哪些關(guān)鍵點(diǎn)呢?
美國(guó)房產(chǎn)合同要注意的七大關(guān)鍵點(diǎn)
第一,交易價(jià)格
通常在Offer過(guò)程中,買(mǎi)賣(mài)雙方都可能對(duì)價(jià)格做出讓步,互相妥協(xié),方能達(dá)成相互認(rèn)可的交易價(jià)格。當(dāng)然,也有很多一口價(jià),即賣(mài)家開(kāi)價(jià)就是最終成交價(jià)格。
第二,移除房屋檢查條款。
這一條標(biāo)準(zhǔn)合約通常是17天,但是可以根據(jù)交易周期進(jìn)行調(diào)整,筆者在交易過(guò)程中最短有縮為三天。即在17天或者三天內(nèi)完成房屋檢查,也即在17天或者三天內(nèi),買(mǎi)家可以后悔退出交易。達(dá)到17天或者三天,買(mǎi)家如果選擇交易繼續(xù),必須書(shū)面移除后悔條款,也即買(mǎi)家不能以房屋質(zhì)量等問(wèn)題為由退出交易了。
第三,移除貸款交易條件。
標(biāo)準(zhǔn)合約通常是21天,但是筆者在交易過(guò)程中,通常會(huì)要求三十天,這樣會(huì)給買(mǎi)家申請(qǐng)辦理貸款充足的時(shí)間。如果在規(guī)定時(shí)間內(nèi),貸款被拒絕,買(mǎi)家可以退回訂金,安全退出交易。
第四,完成交易時(shí)間。
也即關(guān)閉公證行時(shí)間,通常在45天。
會(huì)根據(jù)客戶(hù)資金情況,適當(dāng)要求延長(zhǎng)或者縮短。貸款交易時(shí)間相對(duì)較長(zhǎng),現(xiàn)金交易,筆者最短一周時(shí)間完成全部交易。
第五,關(guān)注附加條款。
在Offer過(guò)程中,如果賣(mài)家有特別要求,通常會(huì)在附加條款中出現(xiàn)。
比如,移除貸款條件,通常需要買(mǎi)家書(shū)面回復(fù)。但是賣(mài)家為了防止買(mǎi)家拖延時(shí)間,有時(shí)會(huì)加注一條,在貸款規(guī)定時(shí)間內(nèi),不論買(mǎi)家拒絕或者同意,都必須及時(shí)提供書(shū)面通知,否則視為買(mǎi)家同意,不得退出交易,違約將沒(méi)收訂金。
第六,房屋檢查狀況及白蟻蟲(chóng)害狀況。
房屋檢查結(jié)束后,會(huì)有一個(gè)圖文并茂的檢查報(bào)告。買(mǎi)家通常會(huì)要求賣(mài)家根據(jù)檢查報(bào)告,修復(fù)房屋存在的問(wèn)題。
一般房屋都有白蟻蟲(chóng)害狀況,根據(jù)房齡大小,程度不一。在交易完成前,賣(mài)家都必須進(jìn)行查殺,并有相關(guān)報(bào)告文件。
第七,房屋告知文件。
賣(mài)家需要將房屋相關(guān)狀況,即涉及房屋地質(zhì)災(zāi)害、房屋是否發(fā)生自然或者非自然死亡事件等,賣(mài)家必須如實(shí)告知買(mǎi)家,否則將視為欺詐。
美國(guó)房屋交易合約,經(jīng)歷百年發(fā)展,已經(jīng)非常完善。格式化合約,充分考慮到買(mǎi)賣(mài)雙方的利益。當(dāng)然,從規(guī)則上,更多側(cè)重保護(hù)買(mǎi)家的.利益。告知義務(wù)、詐欺條款與產(chǎn)權(quán)保險(xiǎn),保證買(mǎi)家只要按規(guī)則行事,不會(huì)買(mǎi)到問(wèn)題房。違背規(guī)則,比如找賣(mài)方經(jīng)紀(jì)直接交易,可能因小失大。

The premises is hereby leased for a term of ----years commenciny on ----and expiring on ----.Neither Party A nor Party B can terminate the contract in the first year of tenancy , in the secong year , shall any party wish to stop the contract . the intiate party shall give the other party two months prior written notice.
5.租金 Rent
A.租金每月為_(kāi)____元整

B.租金以_____為單位, 租金應(yīng)以現(xiàn)金或支票支付,當(dāng)甲方或甲方委托人每月收到乙方租金后,當(dāng)立即發(fā)回收據(jù)予乙方.租金必須于每月__號(hào)前支付.
The rent is payable in ----by cash or check. Party A (or A’s representative)shall issue a receipt to Party B upon receiving the rent . The rent must be paid before or on the ----day of each month.
6.押金 Deposit
A.本合同簽訂后__天內(nèi), 乙方應(yīng)向甲方繳付__個(gè)月租金額做為押金,合計(jì)為_(kāi)_
Party B must pay to Party A----months rent as deposit for a total of ----of ----within ----days upon the contract signed.
B.在租賃期屆滿(mǎn)后,乙方付清該物業(yè)租賃期內(nèi)的一切費(fèi)用,并且將該物業(yè)交還于甲方后的十四天內(nèi),甲方應(yīng)將押金無(wú)息返還給乙方.
On the completion of the contract, Party A shall return the deposit without interest to Party B within 14 days as long as Party B has paid off all outstanding fees in the tenanty period and returned the premises to Party A.
C. 乙方如違反合同規(guī)定,致使甲方未能如期收取租金或?qū)τ诔鲎馕飿I(yè)造成損壞,甲方可扣留部分或全部押金抵付.
If Party B breaches any Party of this contract. such as not paying the rent punctually, or if party B causes damange to the leased premises, Party A has the right to retain part or all of the deposit in compensation.
7.費(fèi)用 Charges
A. 租賃期內(nèi)的管理費(fèi)用由__方負(fù)責(zé)支付.
The management fee shall be paid by_____.
B,租賃期內(nèi)之水,電,煤氣費(fèi),電話(huà)費(fèi)及有線(xiàn)電視費(fèi)等.每月根據(jù)實(shí)際用量結(jié)算,由__方按單繳付.
Charges for water, elctricity , gas , telephone and cable TV are payable by -monthly to the relative bureau according to bills received.
8.甲方的責(zé)任 Landlord’s responsbilities
A.租賃期內(nèi)甲方不得無(wú)故收回房屋,甲方如有違約,應(yīng)退還全部押金及補(bǔ)償壹倍押金給乙方.
Party A is not permitted to take back the leased presises during the tenancy period. If Party A breaches this contract. The deposit will be bouble returned to Party B.
9.乙方的責(zé)任 Tenant’s responsbilities
A.乙方如在租賃期內(nèi)中途退租,在末經(jīng)得甲方同意下, 原押金不予退還.
If Party B vacates the premises before completion of the tenancy period without any permission of Party A , the deposit will not be returned to Party B.
B.租賃期內(nèi)末經(jīng)甲方同意, 乙方不能將其所租物業(yè)全部或部分轉(zhuǎn)租,私自轉(zhuǎn)租無(wú)效.
During the period of tenancy , unless with the agreement of Party A, Party B can not sub-let or let in part or if full the leased premises.
C.乙方應(yīng)愛(ài)護(hù)租賃物業(yè)及其設(shè)備,如因使用不當(dāng)導(dǎo)致?lián)p壞,乙方應(yīng)負(fù)責(zé)賠償.
Party B shall take care of the premises and the facilities of the premisese and shall be responsible for any damages to the premises or the facilitics of the premises owning to the resons of Party B.
D.在已有房?jī)?nèi)的裝飾和設(shè)施之外,乙方如要增加設(shè)備或其他裝修征得甲方同意;租賃期滿(mǎn)必須恢復(fù)原狀,并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲.
In additon to the decoration and equipment already in the premises , if Party B wishes to make any alterations or decoration to the premises, Party B shall get consent from Party A, On completion of the tenancy, Party B must hand-over the premises to Party A in its origineal condition and fees arising from such work and to be borne by Party B.
10.爭(zhēng)議的解決 Arbitration
凡執(zhí)行本合同或與合同有關(guān)的爭(zhēng)議,由雙方友好協(xié)商解決,協(xié)商不成, 提請(qǐng)中國(guó)有關(guān)經(jīng)濟(jì)合同仲裁機(jī)構(gòu)調(diào)解,調(diào)解不成, 提請(qǐng)中國(guó)有關(guān)經(jīng)濟(jì)合同仲裁機(jī)關(guān)仲裁.
In the case of disputes arising over this agreement, the two parties shall negotiate in friendly marmer and in good faitb;In failed, shall submit to China Related Economic Contract Arbitrated Bureau to mediate or arbitrate.
11.其他 Others
A.本合同如有末盡事宜, 由甲乙雙方洽談解決.
If the contract remain some unperfercted parts, the two parties shall negotiate in peace.
B.本合同自簽署之日生效,甲乙雙方各執(zhí)一份參照.
This contract is effective after both parties making their signatives, each party keeps one copy for reference.
C.如有爭(zhēng)議,以此合同中方為準(zhǔn).
In case of dispute, the chinese version of the contract shall prevail.
